11Ownership and Intellectual Property
This website and all of its contents — including text, graphics, logos, images, audio, software, and other materials (collectively, "Materials") — are the property of Bedre Health or its licensors and are protected by applicable intellectual property and proprietary rights laws.
You may view or download Materials from this site solely for your personal, non-commercial use, provided you include all copyright and proprietary notices contained in the original. You may not reproduce, distribute, publicly display, modify, create derivative works from, or use any Materials for commercial purposes without our prior written consent.
All rights in the Materials not expressly granted in these Terms are reserved by Bedre Health.
12Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Bedre Health and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of, or inability to use, this website
- Your violation of these Terms or any representation or warranty made herein
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right
- Any content you submit to the site
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.
13Disclaimers — No Warranties
14Limitation of Liability
15Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration under Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
This website is operated from the United States. Bedre Health makes no representation that the Materials are appropriate or available for use in locations outside the United States.
16Dispute Resolution and Binding Arbitration
16.1 — General Agreement to Arbitrate
Except as described in Section 16.2, you and Bedre Health agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the use or access of this website, shall be resolved exclusively by binding individual arbitration — not in court. This includes claims based on contract, tort, statute, fraud, misrepresentation, or any other legal theory. You and Bedre Health each waive any right to a jury trial or to participate in a class action.
16.2 — Exceptions to Arbitration
Either party may bring an individual claim in small claims court. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights, or for matters where irreparable harm is imminent. Nothing in this section prevents either party from pursuing enforcement actions through applicable government agencies.
16.3 — Arbitration Process
Send a Written Notice of Dispute
The party seeking arbitration must first send a written Notice of Dispute by certified mail describing the nature of the claim and the relief sought. Send to: Bedre Health, Winchester, MA 01890 / info@bedrehealth.com.
30-Day Good-Faith Resolution Period
Both parties agree to attempt to resolve the dispute informally for 30 days after the notice is received. Most disputes can be resolved at this stage.
Initiate AAA Arbitration
If unresolved after 30 days, either party may initiate arbitration under the Commercial Dispute Resolution Procedures of the American Arbitration Association (AAA). Rules available at www.adr.org or 1-800-778-7879.
Arbitrator Issues a Decision
The arbitrator may award the same damages and relief a court could award. The decision will be in writing and binding on both parties.
16.4 — Fees
If you initiate arbitration and your claim does not exceed $1,000, Bedre Health will reimburse your AAA filing fee unless the arbitrator determines the claim was frivolous. For claims over $1,000, AAA fee schedules apply. Arbitration hearings will take place in Massachusetts, or by telephone or document submission for smaller claims.
16.5 — No Class Actions
All claims must be brought in your individual capacity. Neither you nor Bedre Health may participate in a class action, class arbitration, or consolidated proceeding. The arbitrator may not consolidate claims from more than one person without both parties' consent.
16.6 — Changes to Arbitration Clause
You may reject any future material change to this arbitration clause by sending written notice within 30 days of the change. In that case, the version of this clause in effect prior to the change will govern your disputes.
16.7 — Severability
If any portion of this arbitration clause is found unenforceable, the remainder will continue in full force. If the class action waiver is found unenforceable, the entire arbitration clause will be void and the dispute will proceed in court.
17Consent to Communications
By providing your contact information through this website, you agree to receive communications from Bedre Health, including appointment confirmations, health information, and service-related messages, via email, phone, or text message — including calls made by automated systems — to the contact information you provided.
You are not required to consent to marketing communications as a condition of receiving care. You may opt out at any time:
- Email: Click "Unsubscribe" in any marketing email
- Text messages: Reply STOP from the receiving device
- Phone calls: Request removal during any call you receive from us
Bedre Health may monitor and record telephone calls for quality assurance and training purposes. By calling or accepting calls from us, you consent to such monitoring and recording.
You also consent to receive electronic communications from us (such as emails or in-site notices) as legally equivalent to written notice, to the extent permitted by applicable law.
18General Provisions
These Terms, together with our Privacy Policy and Notice of Privacy Practices and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Bedre Health with respect to your use of this website. They supersede all prior or contemporaneous agreements on that subject.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
You may not assign or transfer your rights under these Terms without our prior written consent. Bedre Health may assign its rights under these Terms at any time without notice. Section headings are for convenience only and do not affect the interpretation of these Terms.
Provisions that by their nature should survive termination of these Terms — including Sections 11 through 16 — will survive termination or expiration.
